IvyCraft Terms of Service

We may revise these Terms from time to time. Any changes will be effective upon posting of the revised version, and your continued use of the Services constitutes acceptance of those changes.

 

By accessing or using the Services, you hereby represent and warrant that:

 

• You possess the full legal capacity and authority to enter into these Legal Terms and agree to be bound by them;
• You have reached the age of majority in your jurisdiction of residence and are not considered a minor under applicable law;
• You will not access or attempt to access the Services through any automated or non-human means, including but not limited to bots, scripts, or similar technologies;
• You will not use the Services for any unlawful, fraudulent, or unauthorized purpose;
• Your use of the Services shall at all times comply with all applicable laws, rules, and regulations.

 

In the event that any information you provide to us is untrue, inaccurate, not current, or incomplete, we reserve the right, in our sole discretion, to suspend or terminate your account and to restrict your access to the Services (or any part thereof), effective immediately and without prior notice.

When you use IvyCraft, you may provide, upload, or generate content such as text, videos, music, or other materials (collectively, your "Knowledge Base"). IvyCraft does not claim ownership of your Knowledge Base. You retain full ownership and are free to use your content as you wish, including for commercial purposes.

 

By using the Services, you grant IvyCraft a worldwide, royalty-free, transferable, and sublicensable license to host, store, display, reproduce, modify, and otherwise use your Knowledge Base solely for the purpose of operating, providing, and improving the Services. This license remains in effect for as long as your Knowledge Base is stored on our platform.

 

We may share your content with third parties only to the extent reasonably necessary to deliver the Services or to comply with applicable legal obligations.

 

IvyCraft reserves the right, in its sole discretion, to remove or disable access to any of your content at any time and without prior notice if we determine that such content violates these Terms or is otherwise objectionable.

 

By submitting any content to IvyCraft, you represent and warrant that:

 

• You own or have obtained all necessary rights, licenses, and permissions to submit the content;
• The content does not infringe upon or misappropriate any third-party intellectual property or proprietary rights;
• The content complies with all applicable laws and these Terms.

 

All intellectual property rights in the Services, including but not limited to trademarks, service marks, logos, copyrights, designs, text, graphics, software, and the overall "look and feel" of the platform (collectively, the "IvyCraft IP"), are and shall remain the sole and exclusive property of IvyCraft and its licensors. The IvyCraft IP is protected by international copyright, trademark, and other intellectual property laws.

 

You may not, without our prior written consent:

 

• Modify, reproduce, distribute, or create derivative works based on the Services or any IvyCraft IP;
• Reverse engineer, decompile, or disassemble any part of the Services;
• Use any IvyCraft IP for any commercial purpose or in any manner not expressly permitted by these Terms.

 

Any unauthorized use of the IvyCraft IP may result in immediate termination of your access to the Services, without notice or refund, and may subject you to legal liability.

IvyCraft offers both free and paid subscription plans, each providing access to different features and levels of service. We reserve the right to modify, adjust, or discontinue any subscription plan or pricing at any time. In the event of material changes that affect existing subscribers, we will provide reasonable advance notice.

 

Credits are a virtual unit of account used within the Services. Credits:

 

• Have no monetary value and are not redeemable for cash;
• Are non-transferable and may not be exchanged, sold, or bartered;
• Are allocated at the beginning of each billing cycle;
• Will expire at the end of the subsequent billing cycle if unused.

 

We accept various forms of payment, including credit cards, debit cards, and select digital payment methods. You may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of the then-current billing cycle, after which your account will automatically convert to the Free plan.

 

Subscription fees are generally non-refundable, except in the following circumstances:

 

• System failures or technical errors that prevent access to or use of the Services;
• Prolonged service unavailability;
• As otherwise required by applicable law.

 

Auto-Renewal: Subscription plans automatically renew at the end of each billing cycle unless canceled through your account settings at least 24 hours before the renewal date.

You agree to defend, indemnify, and hold harmless IvyCraft and against any and all claims, losses, liabilities, damages, fines, penalties, costs, and expenses—including reasonable attorneys' fees and legal costs—arising out of or relating to any of the following:

 

• Your use of the Services, including any illegal, improper, or unauthorized use of the software or platform;
• Your breach of these Legal Terms or any policies or guidelines incorporated herein;
• Any breach of your representations and warranties set forth in these Legal Terms;
• Your violation of any third-party rights, including but not limited to intellectual property rights, privacy rights, or contractual rights;
• Any intentional harmful act directed toward another user of the Services with whom you connected via the Services;
• Any claims arising from content you submit, post, transmit, or otherwise make available through the Services.

 

IvyCraft reserves the right, at your sole expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate fully, at your own expense, with our defense of such claims. We will make reasonable efforts to notify you of any claim, action, or proceeding subject to this indemnification upon becoming aware of it, provided that our failure to do so shall not relieve you of your indemnification obligations except to the extent you are materially prejudiced by such failure.

 

The obligations outlined in this indemnification section shall survive the expiration or termination of these Legal Terms and your use of the Services.

 

Due to the nature of artificial intelligence, the Service may provide generated results that do not reflect real facts or are inaccurate. IvyCraft does not guarantee the accuracy, completeness, or reliability of any output. Users should evaluate the accuracy of any Output as appropriate for their use case.
